Terms of Use and Master Services Agreement (MSA) 

The Platform is intended to foster a respectful, safe, lawful, and constructive community environment.

  • INTRODUCTION

    These Terms of Use (“Terms”) govern the access to and use of the Enigma Community ecosystem, including all websites, applications, facets, digital products, software systems, community services, content platforms, subscription systems, marketplace functions, educational services, streaming services, consultation booking systems, and related products and services operated by Enigma Metaverse Pvt. Ltd. (“Company”, “Enigma”, “Enigma Community”, “we”, “us”, or “our”). 

    The Enigma Community ecosystem includes, but is not limited to, Rational Works, Enigma Jaunt, Enigma Celluloid, Derecho, Enigma Capital, Enigma Viand, Enigma Football, Vyasa Nexus, Hashing Hardware, Enigma Metaverse and all associated facets, platforms, products, domains, subdomains, applications, APIs and future services launched by the Company. 

    By accessing, browsing, registering on, purchasing from, subscribing to, interacting with, uploading content to, or otherwise using the Platform, the User agrees to be bound by these Terms, the Privacy Policy, Disclaimer Policy, Community Guidelines, Refund Policy, and all supplemental policies issued by the Company from time to time. 

    If the User does not agree with these Terms, the User shall discontinue use of the Platform immediately.
     
  • ELIGIBILITY

    The Platform is intended only for individuals who are competent to contract under the applicable laws of India and other relevant jurisdictions. Persons under the age of eighteen (18) years are not permitted to create accounts or use the Platform independently.     

    By using the Platform, the User represents and warrants that the User has the legal authority, capacity, and competence to enter into binding agreements. 

    The Company reserves the right to suspend or terminate any account found to have been created by a minor or by any person providing false information.

  • ACCOUNT REGISTRATION

    The Platform operates through a unified account and identity ecosystem across all facets of Enigma Community. A single login may enable access to multiple products, communities, applications, services, subscriptions, rewards systems, and features. 

    Users may be required to register and create an account by providing information including, but not limited to, name, mobile number, email address, date of birth, gender, profile photograph, and other information as required. 

    Verification may be completed through OTP authentication, email verification, social login integrations, or such other authentication mechanisms as determined by the Company. 

    The User agrees that all information provided shall be accurate, complete, updated, and lawful. The User shall be solely responsible for maintaining confidentiality of login credentials and for all activities occurring under the account. 

    The Company reserves the unrestricted right to suspend, restrict, review, or terminate accounts at its sole discretion for violation of applicable laws, policies, fraudulent activity, abusive conduct, platform misuse, impersonation, unlawful content, security concerns, or any conduct deemed detrimental to the Platform or community.

  • PLATFORM NATURE AND SERVICES

    The Platform functions as an integrated digital ecosystem and may include community interaction systems, digital content platforms, social engagement tools, educational services, streaming systems, software-as-a-service offerings, marketplace features, digital consultations, subscriptions, event participation, user-generated content systems, referral systems, reward systems, and commerce functionalities. 

    The Company may act in different capacities across different facets of the Platform including, but not limited to: 

    (a) technology facilitator; 
    (b) educational content provider; 
    (c) intermediary platform; 
    (d) marketplace operator; 
    (e) hosting provider; 
    (f) software service provider; 
    (g) subscription platform; 
    (h) community operator. 

    Certain services available on the Platform may be rendered by independent third-party consultants, educators, psychologists, doctors, advocates, professionals, trainers, creators, or service providers. The Company does not independently verify all qualifications, registrations, licenses, advice, recommendations, statements, opinions, or services provided by such third parties. 

    The User acknowledges that the Company merely facilitates access to such third-party professionals through technological infrastructure and does not itself provide medical advice, legal advice, psychiatric treatment, investment advice, diagnosis, prescriptions, litigation representation, or financial advisory services unless expressly stated otherwise.

  • USER CONTENT

    Users may upload, stream, publish, transmit, display, submit, or otherwise share content including text, audio, video, photographs, reviews, comments, messages, streams, profile information, educational content, community posts, and other materials (“User Content”). 

    Upon uploading or submitting User Content, the User grants to the Company an irrevocable, perpetual, worldwide, royalty-free, transferable, sublicensable, non-exclusive license to host, store, reproduce, distribute, modify, adapt, publish, display, stream, process, archive, promote, analyze, and use such User Content for operation, promotion, analytics, improvement, moderation, marketing, machine learning, personalization, security, and development of the Platform. 

    Ownership of uploaded content shall vest with the Company immediately upon upload to the extent permissible under applicable law, and the User irrevocably waives any claims inconsistent with the rights granted herein. 

    The User represents and warrants that: 

    (a) the User possesses all rights required to upload such content; 
    (b) the content does not infringe intellectual property rights; 
    (c) the content is lawful and non-defamatory; 
    (d) the content does not violate privacy or confidentiality obligations; 
    (e) the content is not misleading, fraudulent, harmful, obscene, hateful, abusive, or unlawful. 

    The Company reserves unrestricted rights to remove, restrict, demonetize, suspend, moderate, archive, report, or permanently delete any content at its sole discretion.

  • PROHIBITED CONDUCT

    Users shall not: 

    (a) violate any law, regulation, or third-party rights; 
    (b) upload unlawful, obscene, defamatory, abusive, hateful, harassing, or violent content; 
    (c) engage in fraud, impersonation, phishing, scams, or misleading conduct; 
    (d) reverse engineer, scrape, exploit, attack, damage, disrupt, or interfere with the Platform; 
    (e) introduce malware, bots, scripts, or harmful code; 
    (f) misuse reward systems, referral systems, subscriptions, or platform mechanisms; 
    (g) infringe copyrights, trademarks, or proprietary rights; 
    (h) use automated systems without written authorization; 
    (i) conduct unauthorized advertising or solicitation; 
    (j) transmit misinformation relating to medicine, law, finance, or public safety; 
    (k) misuse streaming systems or intellectual property; 
    (l) create fake accounts or manipulate engagement metrics. 

    Violation may result in suspension, permanent ban, forfeiture of rewards, reporting to authorities, civil action, criminal proceedings, or other remedies available under law.

  • REPUTATION, POINTS, REFERRALS AND COMMUNITY REWARDS

    The Platform may operate a digital rewards, points, referral, badge, reputation, or gamification system. 

    Points and rewards have no monetary value, are non-transferable, revocable, and may only be redeemed within the ecosystem in accordance with policies issued by the Company. 

    The Company reserves absolute rights to: 

    (a) modify reward structures; 
    (b) revoke rewards; 
    (c) suspend accounts; 
    (d) remove reputation points; 
    (e) alter redemption systems; 
    (f) terminate referral programs; 
    (g) investigate misuse or abuse. 

    Referral rewards may be issued for valid referrals in accordance with promotional policies and may be withdrawn where fraud, duplication, manipulation, or abuse is identified.

  • SUBSCRIPTIONS AND PAYMENTS

    The Platform may provide subscription-based services, one-time purchases, memberships, consultation bookings, educational programs, digital products, streaming access, software licenses, premium community access, and other paid offerings. 

    Users authorize recurring billing where subscription services are purchased. 

    Prices, taxes, charges, convenience fees, platform fees, renewal terms, and subscription plans may be modified at any time. 

    Payment processing may be facilitated through third-party payment gateways. The Company shall not be liable for payment gateway failures, banking delays, technical errors, unauthorized banking actions, or external financial disruptions. 

    Users agree to provide valid payment details and authorize the Company and payment partners to process transactions.

  • FAILED TRANSACTIONS

    In the event of failed transactions, duplicate debits, delayed payment confirmations, unsuccessful subscriptions, or unresolved payment issues, Users shall initially contact customer support. 

    If unresolved, complaints may be escalated to the Grievance Officer. 

    The Company shall undertake commercially reasonable efforts to investigate payment disputes but does not guarantee immediate reversal timelines where banking institutions or payment processors are involved.

  • THIRD-PARTY PROFESSIONAL SERVICES

    Certain facets of the Platform may facilitate interactions with independent psychologists, doctors, educators, trainers, legal professionals, consultants, financial educators, coaches, creators, or advisors. 

    Such professionals are independent third parties and not employees, agents, representatives, or partners of the Company unless expressly stated otherwise. 

    The Company does not guarantee outcomes, qualifications, accuracy, effectiveness, legality, suitability, licenses, registrations, certifications, or professional standards relating to such third parties. 

    Users independently assume all risks associated with reliance upon third-party advice, consultations, guidance, services, educational material, recommendations, or interactions. 

    The Platform does not provide emergency medical assistance, prescriptions, psychiatric emergency intervention, litigation representation, financial investment advice, brokerage services, or fiduciary advisory services.

  • INTELLECTUAL PROPERTY

    All software, source code, designs, trademarks, logos, graphics, interfaces, videos, text, course material, streaming systems, databases, applications, algorithms, workflows, APIs, content structures, and proprietary systems forming part of the Platform are the exclusive intellectual property of the Company unless otherwise stated. 

    Users shall not reproduce, distribute, republish, copy, sell, license, modify, reverse engineer, scrape, mirror, exploit, or commercially use any portion of the Platform without prior written consent. 

    Unauthorized use may result in civil and criminal action.

  • ARTIFICIAL INTELLIGENCE AND AUTOMATED SYSTEMS

    The Platform may use artificial intelligence systems, recommendation engines, personalization systems, analytics systems, moderation systems, and automated technologies. 

    AI-generated suggestions, recommendations, insights, summaries, rankings, analytics, and outputs may contain inaccuracies and shall not constitute professional advice. 

    Users shall independently verify information before acting upon any recommendation. 

    The Company disclaims all liability arising from reliance upon AI-generated content or automated outputs.

  • PRIVACY AND DATA USAGE

    The User acknowledges and agrees that the Platform may collect, process, store, analyse, and utilize personal data including IP addresses, browsing activity, device information, location data, payment data, search history, behavioral analytics, preferences, cookies, and interaction patterns in accordance with the Privacy Policy. 

    The Platform may utilize cross-facet personalization whereby user behavior in one facet may influence recommendations, suggestions, advertisements, content discovery, or engagement across other facets. 

    Users consent to such processing by continuing to use the Platform.

  • DISCLAIMERS

    The Platform and all services are provided on an “as is” and “as available” basis. 

    The Company makes no warranties, representations, or guarantees regarding uninterrupted availability, accuracy, merchantability, fitness for a particular purpose, compatibility, reliability, legality, security, or performance. 

    Educational content does not constitute professional medical, legal, psychiatric, therapeutic, or financial advice. 

    The Company disclaims liability for actions taken by Users based on Platform content, consultations, educational material, or community interactions.

  • LIMITATION OF LIABILITY

    To the maximum extent permitted by law, the Company, its directors, officers, employees, affiliates, licensors, technology partners, and service providers shall not be liable for any indirect, incidental, punitive, special, consequential, exemplary, or economic damages arising from use of the Platform. 

    The aggregate liability of the Company shall not exceed the amount actually paid by the User to the Company during the three months immediately preceding the event giving rise to the claim.

  • INDEMNITY

    Users agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, affiliates, consultants, licensors, technology providers, and representatives from and against all claims, liabilities, damages, penalties, proceedings, losses, costs, and expenses arising from: 

    (a) violation of these Terms; 
    (b) unlawful conduct; 
    (c) uploaded content; 
    (d) misuse of the Platform; 
    (e) infringement of rights; 
    (f) disputes with third parties.

  • TERMINATION

    The Company reserves the right to suspend, terminate, restrict, or disable access to the Platform at any time without prior notice. 

    Upon termination:     

    (a) access rights shall cease immediately; 
    (b) subscriptions may be discontinued; 
    (c) points or rewards may lapse; 
    (d) content may be retained or deleted; 
    (e) legal rights accrued prior to termination shall survive.

  • GOVERNING LAW AND DISPUTE RESOLUTION

    These Terms shall be governed by the laws of India. 

    Any dispute arising out of or relating to the Platform or these Terms shall first be addressed through customer support mechanisms and grievance redressal procedures. 

    If unresolved, disputes shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. 

    The seat and venue of arbitration shall be Hyderabad, Telangana. 

    Courts at Hyderabad alone shall have exclusive jurisdiction.

  • MODIFICATIONS

    The Company reserves the unrestricted right to modify these Terms, policies, fees, features, services, structures, and operational systems at any time. 

    Continued use of the Platform following modifications shall constitute acceptance.
